6 UNSOLICITED SUBMISSIONS

QIC does not accept or consider any creative ideas, suggestions or materials from the public ("Submissions"), therefore, you should not make any Submissions to QIC. If you do send us a Submission, despite our request not to do so, then such Submission will be considered non-confidential and non-proprietary and shall immediately become the property of QIC. QIC shall exclusively now and hereinafter own all rights, title and interest therein. QIC will be free to use any Submissions for any purpose whatsoever. You agree with respect to any submissions provided by you to us, via e-mail or otherwise, that such Submissions are truthful and do not violate the legal rights of others.

IN EVERY EVENT, QIC'S TOTAL MAXIMUM AGGREGATE LIABILITY UNDER THESE TERMS OF USE OR THE USE OR EXPLOITATION OF ANY OR ALL PART OF THIS SITE OR THE MATERIALS CONTAINED THEREIN, IN ANY MANNER WHATSOEVER SHALL BE LIMITED TO FIVE ($5.00) US DOLLARS. QIC SHALL NOT ASSUME ANY RISKS BEYOND THOSE EXPRESSLY ASSUMED HEREIN AND IF ANY SUCH RISKS WERE TO BE ASSUMED BY QIC, QIC WOULD NOT HAVE ENTERED INTO THIS AGREEMENT.

9 INDEMNIFICATION

You agree to defend, indemnify and hold QIC, its subsidiaries, affiliates, partners and suppliers, and each of their respective officers, directors, employees, shareholders, legal representatives, agents, successors and assigns harmless from and against any and all claims, damages, liabilities, costs, and expenses, including attorney's fees, arising from or in any way related to: (1) your use of the Site or any material contained therein; or (2) your breach of these Terms of Use. . QIC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any such matter without the prior written consent of QIC. If you have a dispute with one or more third parties that provide content via the Site, you release QIC, its subsidiaries, affiliates, partners and suppliers, and each of their respective officers, directors, employees, shareholders, legal representatives, agents, successors and assigns from all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

13 JURISDICTION

This Site is maintained and operated by Placewise LLC. These Terms of Use are governed and interpreted under the laws of the State of Ohio (without regard to conflict of law principles) and/or the federal laws of the United States of America. By using this site you consent to the jurisdiction of the courts located in Cuyahoga County, Ohio for any action arising from these Terms of Use. Any cause of action or claim you may have with respect to the Site must be commenced within one (1) year after the claim or cause of action arises. In order to use and participate in these Services you may be required to register and provide personally identifiable information such as your name, address, birth date, email address and/or cell phone number, and possibly volunteer other information including but not limited to providing valid Government issued identification to verify personal information (collectively "User Information").
